These terms set out the agreement between you (the “Referrer”) and Maple Graphics & Printing Inc. (the “Company”, “we”, “us”) for our referral program. By creating an account and checking the box to accept, you agree to these terms. If you do not agree, do not sign up.
1.Who can join
You must be at least 18 years old (the age of majority in Ontario) and legally able to enter into a contract in Canada. You join as an independent referrer, not as an employee, partner, agent, or contractor of the Company. Nothing in these terms creates an employment or partnership relationship.
2.Applying and approval
Signing up is an application, not automatic acceptance. We review every application and approve at our sole discretion. You will not be able to see any earnings, client information, or portal content until your account is approved. We may decline or remove an application without giving a reason.
3.How referrals and commission work
- You earn a commission when a client you referred pays an invoice with the Company.
- Your commission is a percentage of the sale total on that invoice. The Company sets your rate and may change it on a go-forward basis with notice.
- Commission applies to repeat orders from your referred clients while your account is active, unless we tell you otherwise.
- A referral only counts if the client is genuinely new to the Company and is recorded as referred by you in our system at the time of their order.
4.Payouts
Earned commission shows as “pending” until we pay it out. Payouts are made by Interac e-Transfer (or by cheque or cash by arrangement) on a monthly basis, or as otherwise arranged. We keep a record of every payout (who, how much, and when). The Company may set a minimum payout amount before a payout is issued, and will let you know the current minimum if one applies.
5.Taxes
You are responsible for reporting and paying any taxes on commissions you earn. The Company does not withhold income tax, CPP, or EI from your commissions. Where required by the Canada Revenue Agency, the Company may issue you a T4A slip for amounts paid. You should keep your own records and seek your own tax advice.
6.How you must conduct yourself
- You must not send spam. Any emails or electronic messages you use to refer people must comply with Canada’s Anti-Spam Legislation (CASL), including consent and unsubscribe requirements.
- You must not make false or misleading claims about the Company, its prices, or its work (this also aligns with the federal Competition Act).
- You must not present yourself as the Company or as authorized to make deals, quotes, or promises on its behalf.
- You must not buy ads or use the Company’s name or logo in ways we have not approved in writing.
7.Privacy and confidentiality
We collect your name, contact details, and payout information to run the program, and we handle it in line with Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA). By signing up, you consent to this use. You can ask to see or correct your information, or to close your account, by contacting us.
In your portal you can only see your own earnings. Client names are shortened to protect privacy. You must not try to access another referrer’s data or the Company’s internal systems, and you must keep any client information you do learn confidential.
8.Suspending or ending your account
You may leave the program at any time by contacting us. We may suspend or close your account at any time, including for breaking these terms. If your account ends, we will pay out any commission already earned and properly owing up to that point, subject to these terms; commissions not yet earned are forfeited.
9.No guarantee and limit on liability
We do not promise any particular amount of referrals or income. To the fullest extent allowed by law, the Company is not liable for indirect or consequential losses, and our total liability to you is limited to the unpaid commission properly owing to you at the time a claim arises. Nothing here limits liability that cannot be limited under applicable law.
10.Changes to these terms
We may update these terms from time to time. If we make a material change, we will let you know and post the new version with an updated date. Continuing in the program after a change means you accept the updated terms.
11.Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You agree that the courts of Ontario have jurisdiction over any dispute relating to these terms or the program.
